These Terms govern your access to and use of Royaltiza and its related services.

1. Introduction

These Terms govern your access to and use of Royaltiza and its related services. By creating an account, subscribing to Royaltiza, uploading files or using the platform, you agree to these Terms.

Royaltiza is a software service designed to help music creators, rights holders and their representatives upload, process and analyse royalty data from third-party sources.

References to “Royaltiza”, “we”, “us” and “our” mean the Royaltiza service and brand. If you do not agree to these Terms, you must not use the Platform.

2. The Service

Royaltiza provides tools that allow users to:

  • Upload royalty statements and reports, including but not limited to those from PRS for Music and PPL
  • Parse and structure that data
  • Visualise earnings, trends and performance
  • Manage royalty-related datasets

Royaltiza does not:

  • Act as a collecting society
  • Distribute royalties
  • Verify or guarantee payments from third parties

3. Account Registration and Access

To use Royaltiza, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the confidentiality of your login credentials
  • Be responsible for all activity under your account

You must notify us immediately of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts where information is inaccurate, misleading or fraudulent.

4. Subscriptions and Payments

Royaltiza operates on a subscription basis, which may include:

  • Monthly or annual billing
  • Free trials, where applicable

By subscribing, you agree that:

  • Fees are billed in advance
  • Payments are non-refundable except where required by law
  • Failure to pay may result in suspension or termination of access

We reserve the right to change pricing with reasonable notice.

5. User Data and Content

5.1 Ownership

You retain full ownership of all data you upload (“User Data”), including royalty statements and associated files.

5.2 Licence to Royaltiza

You grant Royaltiza a limited, non-exclusive licence to:

  • Process, store and analyse your data
  • Display it within your account
  • Improve the Platform using anonymised or aggregated data only

We do not claim ownership of your data.

6. Data Processing and Accuracy

Royaltiza processes data automatically using software-based parsing and analysis.

You acknowledge that:

  • Outputs depend on the structure and quality of uploaded files
  • Parsing may contain errors or omissions
  • Data visualisations are indicative only

Royaltiza does not provide accounting, financial, or legal advice.

You are solely responsible for verifying data before relying on it for financial or business decisions.

7. Acceptable Use

You agree not to:

  • Upload unlawful, fraudulent or misleading data
  • Attempt to reverse engineer or interfere with the Platform
  • Use the Platform for unlawful purposes
  • Attempt unauthorised access to systems or data

We reserve the right to suspend or terminate accounts for misuse.

8. Third-Party Data Sources

Royaltiza relies on third-party data sources, including PRS for Music and PPL.

We do not control these organisations and are not responsible for:

  • The accuracy or completeness of their data
  • Royalty calculations or payments
  • Changes in their reporting formats

9. Platform Availability

We aim to provide a reliable service but do not guarantee:

  • Continuous or uninterrupted access
  • Error-free operation

Features may be modified, suspended or withdrawn at any time.

10. Intellectual Property

All Platform software, design, dashboards and underlying technology are owned by or licensed to Royaltiza.

You may not copy, reproduce or commercially exploit any part of the Platform without permission.

11. Privacy and Data Security

Your personal data is handled in accordance with our Privacy Policy.

While reasonable security measures are implemented, no system can be guaranteed to be fully secure.

You are responsible for maintaining the security of your account credentials.

12. Liability, Disclaimer and Non-Reliance

12.1 Nature of the Platform

Royaltiza is a data visualisation and analytical tool only.

It is provided solely for the purpose of assisting users in organising and interpreting royalty-related data. It does not:

  • Provide financial, accounting, legal or tax advice
  • Act as a substitute for professional advice
  • Constitute official royalty statements or records
  • Verify, audit or validate data from third-party sources

12.2 No Reliance

You expressly acknowledge and agree that:

  • Any outputs, dashboards, summaries or insights generated by Royaltiza are indicative only
  • You must not rely on the Platform for financial decision-making
  • You are solely responsible for verifying all data against original source documents, including statements from PRS for Music and PPL

Royaltiza shall have no responsibility whatsoever for any decisions, actions or omissions taken by you or any third party based on the Platform.

12.3 Data Accuracy Disclaimer

You acknowledge that:

  • Data is processed automatically using software-based parsing systems
  • Errors, omissions, misclassifications or formatting issues may occur
  • Changes to third-party report formats may impact accuracy

Royaltiza does not guarantee completeness, accuracy, reliability or fitness for any particular purpose of any data processed or displayed.

12.4 Data Representation and Accuracy

You acknowledge and agree that, due to the automated nature of data ingestion, parsing and visualisation, there may be inaccuracies, inconsistencies or misrepresentations in how data is displayed within the Platform.

Such issues may arise from, without limitation, formatting variations, source data quality, parsing limitations or changes made by third-party providers.

Royaltiza is designed to minimise such inaccuracies wherever reasonably possible, including through ongoing improvements to data processing systems and validation logic. However, no guarantee is given that outputs will be error-free, complete or suitable for reliance.

You remain solely responsible for verifying all information against original source documents before relying on it for any purpose.

12.5 Third-Party Data

Royaltiza relies on data provided by third parties.

We:

  • Do not control such data
  • Do not verify its accuracy
  • Are not responsible for any discrepancies between Platform outputs and official statements

All official records remain those issued by the relevant third-party organisations.

12.6 Limitation of Liability

To the fullest extent permitted by law, Royaltiza shall not be liable for:

  • Any financial loss, including loss of royalties, income, profits or anticipated earnings
  • Any reliance placed on Platform outputs
  • Any data inaccuracies or processing errors
  • Any indirect, incidental, consequential or special damages
  • Any loss of business, reputation or opportunity

This applies whether arising in contract, tort including negligence, misrepresentation or otherwise.

12.7 Liability Cap

If, notwithstanding the above, liability is established, total liability shall be limited to the greater of:

  • £50; or
  • The total amount paid by you to use Royaltiza in the 12 months preceding the claim

12.8 Indemnity

You agree to indemnify and hold harmless Royaltiza against any claims, losses, damages, liabilities or expenses arising out of:

  • Your use of the Platform
  • Your reliance on Platform outputs
  • Any data you upload
  • Any breach of these Terms

12.9 No Warranty

The Platform is provided on an “as is” and “as available” basis.

All warranties, whether express or implied, including accuracy, fitness for purpose, satisfactory quality and uninterrupted access, are excluded to the fullest extent permitted by law.

12.10 Non-Excludable Liability

Nothing in these Terms excludes or limits liability where it cannot be excluded under English law, including liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation

13. Termination

You may cancel your account at any time.

We may suspend or terminate access if:

  • You breach these Terms
  • Your use presents risk to the Platform or other users

You are responsible for exporting your data before termination.

14. General

  • These Terms are governed by the laws of England and Wales
  • Disputes are subject to the jurisdiction of English courts
  • If any provision is invalid, the remaining provisions remain enforceable
